Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Covert Digital Ltd ("we", "us", "our"), the company that provides the Dyno platform (the "Service"). By creating an account or using the Service you agree to these Terms.

If you're using Dyno on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms — and references to "you" below mean both you and that organisation.

1. Who can use Dyno

The minimum age to hold a Dyno account is 13. We don't permit accounts for users under 13.

Members aged 13–15 are placed on a Teen accountwith restricted privacy defaults. Teen accounts:

  • can only send and receive direct messages with staff of clubs they belong to (owners, admins, managers, coaches), not other members;
  • have profiles visible only to staff and members of the clubs they've joined;
  • have posts and feed activity scoped to those clubs;
  • do not appear in cross-club member discovery.

For members aged 13–15 we expect a parent or guardian to be involved in onboarding. Clubs that admit teen members are responsible for confirming parental awareness and obtaining parental consent for waivers and payments where required by their local rules or insurer.

Children under 13 cannot have a Dyno account in their own name. Where a child under 13 is a member of a club that uses Dyno, the parent or guardian must manage the child's membership through the parent's own Dyno account, using their own email address. The parent or guardian is responsible for all activity under that account.

We may refuse, suspend or terminate accounts that are used unlawfully or in breach of these Terms, including accounts that misrepresent the user's age.

2. Your account

Keep your password and any access tokens confidential. You're responsible for everything that happens under your account. Tell us immediately at support@dyno-app.com if you suspect unauthorised access.

You agree to provide accurate information at signup and to keep it current. Misrepresenting your identity, the club you administer, or the nature of your activities is grounds for termination.

3. The Service

Dyno provides software to run clubs and communities — including memberships, events, payments, bookings, messaging and a member-facing mobile app. The features available to you depend on the plan you choose and the bolt-ons (add-ons) you subscribe to. We may change, add or remove features at our discretion, but we will not materially reduce the features available on a paid plan during a billing period without notice.

4. Plans and pricing

We offer the following plan tiers, with prices in GBP:

  • Free — £0/month. Up to 20 members. 4% platform transaction fee.
  • Starter — £39/mo or £384/yr. Unlimited members. 2% platform transaction fee. 3 staff seats.
  • Growth — £89/mo or £864/yr. 1% platform transaction fee. 8 staff seats. Adds paid events, multi-tier memberships, discounts, finances and analytics.
  • Pro — £199/mo or £1,908/yr. 0% platform transaction fee. 25 staff seats. Bundles every paid bolt-on (Facilities, Custom Branding, Advanced Analytics, Featured club, Staff & roles, Staff scheduling).

Extra staff seats above each plan's included cap can be added at £10/mo or £100/yr per seat. Bolt-ons (Facilities, Custom Branding, Featured Club, Advanced Analytics, Staff & roles, Staff scheduling) are billed separately and can be added or removed independently of the base plan. Current pricing is shown at dyno-app.com; we may change pricing from time to time, but changes only apply to your subscription from the start of the next billing period and we'll give you at least 30 days' notice for any increase.

4.1 Platform transaction fees

Two fees are deducted from every member payment processed through Stripe Connect. Stripe's own card processing fee (typically 1.5% + 20p on UK consumer cards; higher rates apply to commercial, international or Amex cards and are passed through at cost) is taken from the gross first. The platform transaction fee for your plan, where applicable, is then calculated on the same gross. The remaining amount is paid to your connected Stripe account on Stripe's normal payout schedule. Dyno never holds member funds.

4.2 Annual plans and money-back guarantee

Annual plans are paid up-front. If you upgrade to an annual Growth or Pro plan and aren't happy, email us within 30 days of the start of the annual period and we will refund the unused portion of the year and downgrade you to the Free tier. After 30 days, annual fees are non-refundable except where required by law.

4.3 Monthly plans

Monthly plans renew automatically each month. You can email support@dyno-app.com to cancel; the cancellation takes effect at the end of the current billing period and you keep access until then. We don't pro-rate refunds for partial months.

4.4 Failed payments

If a renewal payment fails, we will retry it for up to 21 days (Stripe's default smart-retry schedule). If it still fails, we may suspend or downgrade your account until the bill is paid.

5. Stripe Connect and your members' payments

When members pay you for memberships, events, classes, passes or facility bookings, those payments flow through Stripe Connect to your connected Stripe account. You are the "merchant of record" for those payments — meaning you are responsible for the goods and services you sell, refunds, chargebacks, VAT where applicable, and compliance with Stripe's Connected Account Agreement.

Dyno is a software platform; we do not handle members' funds directly. We deduct platform transaction fees as set out in section 4.1.

6. Your content

You retain all rights in the content you upload to the Service — your club branding, your members' data, posts, photos, chat messages, waivers and so on ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display and back up Your Content solely so we can provide the Service to you and your members. This licence ends when you delete the content or your account, except for backups that are overwritten on a rolling basis (see Privacy Policy section 7).

You are responsible for Your Content and for making sure you have the rights to share it. You agree not to upload content that:

  • infringes anyone's rights (intellectual property, privacy, image rights);
  • is unlawful, defamatory, obscene, or harassing;
  • contains malware or attempts to compromise the Service;
  • violates the rights of children or vulnerable individuals.

We may remove content that breaches these Terms or that we're legally required to remove. Where practical we'll tell you why.

7. Acceptable use

You agree not to:

  • scrape, mass-export or systematically collect data from the Service;
  • circumvent rate limits, plan caps or feature gating;
  • resell or sub-license the Service to third parties without our written agreement;
  • reverse-engineer, decompile or attempt to extract the source code (except to the extent permitted by law);
  • use the Service to send spam or unsolicited communications;
  • impersonate another person or club.

8. Our intellectual property

The Dyno name, logo, marks, software, designs, copy and documentation are owned by Covert Digital Ltd. We grant you a non-exclusive, non-transferable right to use the Service while these Terms are in effect. We retain everything else.

9. Data protection and members' data

When members join your club through Dyno, you act as a data controller for that members' personal data and we act as a processor on your behalf. The roles, lawful bases and sub-processors are set out in our Privacy Policy, which forms part of these Terms.

You must:

  • provide your members with a clear privacy notice covering the data you collect through the Service;
  • only collect data that's necessary for running your club;
  • respond to data-subject requests from your members within the time limits set by UK GDPR;
  • keep records of consent for marketing and any sensitive data you collect.

We'll provide reasonable assistance with data-subject requests and security obligations. Material assistance beyond standard support may be charged at our normal rates.

10. Termination

You can cancel your account at any time by emailing support@dyno-app.com. We can suspend or terminate your account if you breach these Terms, fail to pay, or use the Service for unlawful purposes. Where practical we'll give you a chance to fix the issue first.

On termination, your right to use the Service ends. We'll keep your data as set out in our Privacy Policy and will provide a reasonable export of Your Content if you ask within 30 days of termination.

11. Warranties and disclaimers

We provide the Service with reasonable care and skill, and we use commercially reasonable efforts to keep it available. However, the Service is provided "as is" and "as available". We don't warrant that it will be uninterrupted, error-free, or that it will meet every requirement you have.

Nothing in these Terms limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liability that cannot lawfully be excluded.

12. Limitation of liability

Subject to section 11, our total liability to you arising out of or in connection with these Terms — whether in contract, tort (including negligence), breach of statutory duty or otherwise — is limited to the greater of (a) £100 or (b) the fees you paid us for the Service in the 12 months immediately before the event giving rise to the liability.

We will not be liable for: loss of profits, loss of business, loss of goodwill, loss of opportunity, loss of anticipated savings, or any indirect or consequential loss.

13. Indemnity

You agree to indemnify us against claims arising from: Your Content, your use of the Service in breach of these Terms, your sale of memberships / events / passes / facility bookings to your members, and your handling of members' personal data.

14. Changes to the Service or these Terms

We may update these Terms from time to time. The date at the top of this page shows when they were last revised. For material changes we'll give you at least 30 days' notice by email and/or a prominent in-app notice. Continuing to use the Service after the change takes effect means you accept the new Terms; if you don't agree, you can cancel your account.

15. General

  • Governing law: these Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes, except that we may bring proceedings against you in any jurisdiction where you operate.
  • Entire agreement: these Terms (together with the Privacy Policy and any plan-specific addendum) form the entire agreement between us about the Service.
  • Severability: if any clause is unenforceable, the rest of these Terms continue in force.
  • Assignment: you can't transfer your rights under these Terms without our consent. We may transfer ours, including in connection with a sale of the business.
  • Third-party rights: these Terms don't give rights to anyone other than you and us.
  • Notices: we'll send notices to the email on your account. Send notices to us at support@dyno-app.com.
